Ericka has been advising clients in various aspects of corporate and securities law, including acquisition and disposition transactions, joint ventures, financings, equity and debt offerings, general corporate law and formation of business organizations.
Prior to joining CLG, Ericka worked with various US and international law firms in New York and Puerto Rico. Ericka began her career as an associate of the New York office of Paul Hastings where she represented clients on federal and state securities matters. She was also a Partner at Martinez Odell & Calabria in San Juan, Puerto Rico where she represented local and foreign investors in their corporate, securities and finance transactions in Puerto Rico and the Caribbean.
As a New York and Puerto Rico licensed attorney, she has been active working with clients looking to relocate to Puerto Rico to take advantage of the tax incentive laws in Puerto Rico such as Act 20, Act 22 and Act 60. Her cultural and business understanding of Puerto Rico and Latin America makes Ericka an asset when working with international clients doing business in the United States or clients looking to expand internationally.
Ericka is a member of CLG’s EB-5 Immigrant Investor Program Services and Compliance Practice and represents public and private clients using EB-5 as a source of capital, as well as developers seeking to raise capital using the EB-5 investor visa program. She is experienced in the preparation of securities and offering documents for EB-5 transactions.
Ericka assists clients in equity and debt offerings registered under U.S. securities laws, the issuance of equity and debt in global transactions not subject to the registration requirements of U.S. securities laws — principally Regulation S and Regulation D offerings, 1934 and 1933 Act compliance — and with corporate governance and securities regulation matters.
